I am writing to confirm the terms of our engagement regarding the amendment of the paperwork for your Limited Liability Company (LLC) in the state of Texas. This letter outlines the scope of work, responsibilities, and the fee structure for this engagement.

Scope of Work:
My services will be limited to the following scope of work:
1. Amendment of the existing LLC paperwork as required by the state of Texas.
2. Review and preparation of all necessary documents for the amendment.
3. Filing the amendment with the appropriate state authorities.
4. Providing you with updates on the progress of the filing.
5. Ensuring compliance with the relevant state regulations for LLC amendments.

This engagement is specific to the single LLC filing described above. Any additional work beyond the scope outlined will require a separate engagement letter and fee arrangement.

Responsibilities:
You agree to provide me with all necessary information, documents, and authorizations required for the amendment process. It is your responsibility to respond promptly to any requests for information or clarification.

Fees: My fees for this engagement will be a base fee of $750 for the entire scope of work described above. However, if the paperwork is complex, I reserve the right to send additional invoices to cover the additional work required to complete the work. My base fee does not cover the fees for filing with the Secretary of State which ranges between $25-$150.

Payment is due upon the execution of this engagement letter and is non-refundable.

Termination: Either party may terminate this engagement by providing written notice to the other party. In the event of termination, you will be responsible for paying for the services rendered up to that point.

Confidentiality: I will maintain the confidentiality of all information provided by you in the course of this engagement, as required by professional ethics and applicable laws.

Governing Law: This engagement letter shall be governed by and construed in accordance with the laws of the county of Harris County within the state of Texas.
