ENGAGEMENT LETTER FOR TEXAS LLC FORMATION & OPERATING AGREEMENT SERVICES

This Engagement Letter is made between:

Marsaw Legal & Consulting PLLC ("the Firm")

1. Scope of Services

The Firm agrees to provide the following legal services:

  • Preparation and filing of the Texas Secretary of State Form 205 (Certificate of Formation) for a limited liability company.

  • Drafting of a custom Operating Agreement tailored to your needs.

This engagement does not include tax advice, EIN filing, franchise tax assistance, or ongoing business compliance services unless separately agreed in writing.

 

2. Client Responsibilities

To ensure timely and accurate completion of your LLC formation, you agree to:

  • Timely Respond to all emails and requests for information.

  • Complete the Operating Agreement Questionnaire AND return it back to taren@marsawlaw.com within 7-14 Business Days: You will receive a detailed form via our system OR a Microsoft Word document via email. Either must be completed thoroughly and accurately.

  • You will also be required to Watch TWO Video Trainings:

    • "The LLC Guide" video training is required for any client who retains the Firm for an LLC filing service, regardless of whether or not the Firm has waived any fees associated with the service. To access the training, go to https://tarenmarsaw.com/llc-walk-thru/ and use the password Learn
      • You may not, under any circumstance, share this video training with any person or entity who is not part of this agreement.
    • "The New Business Owner Orientation" video training shall also be provided after the Secretary of State (SOS) has granted your LLC via a Certificate of Filing.

Links to these videos will be provided after onboarding. You are required to review them both before the final Operating Agreement will be delivered.

  • Review and Approve Drafts: Promptly review drafts of the Certificate of Formation and Operating Agreement for accuracy. We rely on your confirmation to proceed with filing.

 

3. Filing with the Secretary of State

Once you approve the Certificate of Formation, we will electronically file Form 205 with the Texas Secretary of State. Processing times vary, but we will provide updates as we receive confirmation from the state.

 

4. Fees

The Firm is waiving attorney's fees for the preparation and filing of Form 205 with the Secretary of State. However, a flat fee of $650 will be charged for the drafting of a custom Operating Agreement. The client is responsible for paying the $300 filing fee to the Texas Secretary of State, which must be submitted prior to filing (or simultaneously if the filing is completed electronically).

This $650 fee includes:

  • One (1) custom Operating Agreement, drafted based on your responses to the Operating Agreement Questionnaire. It is your responsibility to provide complete, detailed, and accurate answers in that questionnaire, as the quality and applicability of the final document will depend entirely on the information you submit.

  • Up to two (2) rounds of revisions, provided that all requested edits are submitted within 7 calendar days of delivery of the previously edited or finalized document.  

  • Access to the full video education series and walkthrough guidance

 

5. Term and Termination

This agreement begins upon your payment and our receipt of the signed engagement letter. Either party may terminate the agreement at any time with written notice. If you terminate before the work is completed, a portion of the fee may be retained based on services performed.

 

6. No Ongoing Representation

This engagement is limited to the specific services described above. Future business or legal needs, including tax matters, compliance, or litigation, are outside the scope of this agreement unless agreed to in a separate writing.

 

7. Governing Law

This engagement and any disputes arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Texas. The parties agree that any legal action or proceeding relating to this agreement shall be brought exclusively in a court of competent jurisdiction located in Harris County, Texas.


8. Acknowledgment

By signing below, you acknowledge:

  • You have read and understood this agreement.

  • You agree to comply with the responsibilities outlined above.

  • You understand that delays in providing information or watching required videos may delay completion of your LLC formation.
